About these terms
These terms apply when you use www.continuumcore.io (the “website”) and, unless a signed agreement says otherwise, when you use our services. If you have a signed agreement, proposal or statement of work with us, that document governs our services and takes precedence where it differs from these terms.
By using the website or our services, you agree to these terms. If you accept them on behalf of an organisation, you confirm that you are authorised to do so.
Who we are
The website and our services are provided by Continuum Core Private Limited (“Continuum Core”, “we”, “us”), 903, Vipul Square, Sushant Lok Phase I, Sector 43, Gurugram, Haryana, India. Our Privacy Policy explains how we handle personal data.
Our services
We design, build and operate custom software and AI systems, and help teams take pilots into production. We also build solutions on the WhatsApp Business Platform provided by Meta Platforms, Inc. (“Meta”): onboarding businesses to the platform as a technology provider, connecting WhatsApp to their systems, and running the automated messaging and assistants they set up.
The scope, timelines, fees and service levels of each engagement are set out in its agreement.
Using our website
- Use the website lawfully, and don’t disrupt it or try to access systems or data you are not authorised to access.
- Don’t test the security of the website or our systems without our written permission.
- Don’t use the contact form to send spam or unlawful content.
The website’s content is general information, not advice. Results in our case studies are as reported by our clients, and some visuals are illustrative, as marked. We may change or withdraw any part of the website at any time.
WhatsApp Business Platform services
If you use our WhatsApp solutions for your business:
- Meta’s terms apply. You must accept and comply with the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and any other Meta terms that apply to your use of the platform.
- Opt-in and opt-out. You must get people’s opt-in before messaging them on WhatsApp, as Meta requires, and you must honour requests to stop.
- Your content. You are responsible for your messages, templates and automated replies, for the products and services you offer, and for having a lawful basis for the personal data you send through the service.
- Your account. Your WhatsApp Business Account, phone numbers and data remain yours. You grant us access through Meta’s onboarding flow and can remove it at any time.
- Meta’s decisions. Meta may review, limit, suspend or ban accounts, templates or phone numbers, change messaging limits or quality ratings, and change its pricing or features. We don’t control these decisions and aren’t responsible for them, but we will help you respond where we can.
- Availability. WhatsApp services depend on Meta’s platform. We aren’t responsible for outages of, or changes to, Meta’s services.
- No endorsement. WhatsApp and Meta are trademarks of Meta Platforms, Inc. Meta does not endorse our services.
Your responsibilities
- Use our services lawfully, including data protection, consumer protection, telemarketing and anti-spam laws.
- Don’t use them to send unsolicited or deceptive messages, malware, or content that is illegal, harmful, or prohibited by Meta’s policies, including its rules on the use of AI.
- Keep your credentials and access secure, and tell us promptly about any unauthorised use.
- Give us accurate information and the cooperation your agreement requires.
- Don’t send us sensitive categories of personal data, such as health or financial account data, unless your agreement covers it.
We may suspend a service if we reasonably believe it is being used in breach of these terms or Meta’s policies, or to protect people, our systems or our access to Meta’s platform. We will tell you when we can.
Fees
Fees for our services are set out in your agreement or proposal. Meta charges for WhatsApp messages under its published pricing; your agreement states whether Meta bills you directly or we pass those charges on to you. Unless stated otherwise, fees exclude applicable taxes such as GST.
Intellectual property
The website, its design, text and graphics, and the Continuum Core name and logo belong to us or our licensors. You may view and share pages for personal or internal business use, but you may not copy or reuse them commercially without our permission. Client names and logos on the website belong to their owners.
Ownership of what we build for you is set out in your agreement. Unless it says otherwise, we keep ownership of the tools, frameworks and know-how we had before the engagement.
Confidential information
Please don’t send confidential information through the contact form. We are happy to sign a non-disclosure agreement before detailed discussions. Confidentiality during an engagement is covered by its agreement.
Third-party services
The website and our services link to or rely on third-party services, including Meta’s platform and its Platform Terms. Their own terms and privacy policies apply to your use of them, and we are not responsible for them.
Disclaimers
The website is provided “as is”. To the extent the law allows, we make no warranties about it, including that it will be uninterrupted or error-free. Any warranties for our services are only those set out in your agreement.
Indemnity
You will indemnify and hold harmless Continuum Core, its directors, employees and contractors against any losses, damages, penalties, fines, costs and reasonable legal fees arising from claims, complaints or actions brought by third parties, Meta or any regulator, to the extent they result from:
- your messages, templates, automated replies and other content sent through our services;
- messaging people without valid opt-in, or failing to honour opt-out requests, including complaints under telecom commercial communication and anti-spam rules such as those of the Telecom Regulatory Authority of India;
- your breach of these terms, Meta’s terms and policies, or applicable law, including data protection law, that leads to enforcement against your account or against our access to Meta’s platform;
- the products and services you offer, and personal data you collect or send without a lawful basis.
We will tell you promptly about any such claim, let you take reasonable control of its defence, and cooperate at your cost. You may not settle a claim in a way that imposes an obligation or admission on us without our written consent.
Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, data or goodwill, arising from the website or our services.
Our total liability arising from our services is limited as set out in your agreement. Where no signed agreement sets a limit, our total liability for all claims arising out of or relating to our services is limited to the total fees you paid us for those services in the 12 months before the event giving rise to the claim. We have no liability for your use of the website beyond what the law requires.
These limits do not apply to your payment obligations or your indemnity obligations, and nothing in these terms limits liability that cannot be limited by law.
Suspension and termination
We may suspend or restrict access to the website or a service if these terms are breached, if the law or Meta requires it, or to protect our systems and users. Ending a service is covered by its agreement. Terms that by their nature should continue, such as those on intellectual property, indemnity, liability and governing law, continue after these terms end.
Governing law
These terms are governed by the laws of India. The courts at Gurugram, Haryana have exclusive jurisdiction, unless your agreement says otherwise.
Changes to these terms
We may update these terms. The date at the top of this page shows the latest version. If you keep using the website after an update, you accept the updated terms.
